I have to partially agree with agent.
It actually takes 3 people to put the DVD in a jiffy bag. (1) the packer, (2) supervisor and (3) health & safety officer, who all have to be paid. Clunk Parcel Force, is too cheap, they will probably use DHL or Ups, ship it from the UK to China via The USA for next day delivery.
This is a highly specialised and techinal job. i am just surprised they are not charging £80 for all this 'admin'.

I believe at the time, from what I remember, is that Dell stated what would incur a charge and what wouldn't for the upgrades. I specifically remember reading on the Dell website that if you got XP Home with your laptop you would be charged a small fee + P+P for the upgrade to Vista Home Basic.
In my opinion £36 for Vista is a bargain.
On a sidenote - my upgrade from XP MCE to Vista Home Premium came from Dell yesterday, so they are sending them out, I believe on a first come first served basis.
(I signed up back in November).
My point is, that on the website, when I bought mine, it was definately advertised as a free upgrade, and it did say that there would be a postage and packing charge. The charge is £11, it didnt mention that it was £25 for the actual disc/license (or whatever its for).
My girlfriend got a dell laptop for christmas which qualified for the 'free' upgrade. I registered for it at the start of february, P&P or handling (whatever you want to call it) was £11. I didn't think it was that bad, took over a month to get sent out but when it was it was sent from the US by DHL and took 4 days to get here. The main problem is that the upgrade just wouldn't work. I had to uninstall half the system before I attempted the upgrade (you get a prep disk, how nice of them). McAfee however (she got a fre 3-year sub) was nothing but a pita. I had to use the upgrade work-around thing to get it installed.
Vista's great though.
And I have no idea why one person would get it for £11 and another would have to pay £36.
The price depended on the version of XP you got with the Dell PC. I got XP MCE and it cost me £11 P+P for the upgrade. I.e. 'free'. I imagine in the T&Cs it explained that the free upgrade was for XP MCE and XP Pro. I imagine you got XP Home which was a small charge i.e. £25.
Got my Dell upgrade through today, hope I can answer some of the questions here.
As with all other OEM manufacturers, upgrades from XP MCE -> Vista Home premium and XP Pro -> Vista Business are free apart from shipping costs. XP Home -> Vista Home Basic has a charge.
I think the £11 charge is pretty fair actually, considering you get a step by step guide, Dell Vista Upgrade Assistant DVD which takes care of all BIOS, driver and software upgrades for you, and the Vista disk itself, plus it is shipped from the USA by DHL.

EDIT: Oh, the reason its taking so long is because of the huge backlog of orders. Remember they started taking the orders back in November, and only started shipping in late february. Personally I didn't mind waiting since it's free and my laptop was great even without Vista.
