I cant help u with finding software hun!

Wilk, you took the words right out of my mouth!
MIDI files are saved in such a way that all the musical components can be changed individually - I guess it's like having the source code, in that you can change the instrument that plays different parts (say you want to change the part that the guitar soloist plays into a sax solo).

Their biggest use recently though is their use as a standard for mobile phones and their polyphonic ringtones.

mp3 contains raw audio, sound wave style. midi stores information on the tempo, which instrument to play, and crucially, exactly which note. ransferring from midi to mp3 is easy - you just take the actual sound wave output & record it. mp3 to midi isn't remotely the samee thing - since it's nigh on impossible to analyse the wave, pick out individual instruments, pick the correct tempo instrument & note, and do it all with polyphonic music

any midis you find of popular songs will have been made from scratch by someone. that's the only option you have, unless someone's already redone the song you want & its' easily downloadable
    Wavetables!

There was a rather nifty mp3 player for the awe32 that split the mp3 up into chunks and loaded them into the awe32's 8mb of wavetable space at which point it would play each sample one after the other to acheive the effect of playing the mp3 in midi

Aside from the drop in cpu overhead it was basicly a "look what i can do" program
