Does the extra 2mb of cache make up for the slower clock speed?
It some circumstances it may..in others it wont.
They will both overclock to similar speeds anyway so I would probably have the the 6320...saying that though the 6420 is only £10 more than the 6400 so i'd get that.

The extra cache will come in handy if you are doing encoding work. Get the cheapest chip and buy an after-market cooler and clock the socks off it.
The higher multiplier is handy on the E6420 if the rest of your kit isn't up to scratch e.g. memory.
The multi is more important than the cache. Which is why the E4300 is so popular.
If its for work, get the e6400 - few will notice the extra cache, and the higher clock speed is likely to be more noticable.
If its for home, and you can therefore clock it, go for the e6320
Definately depends what you are doing, mostly you wont notice it though.

Go For the e6420 as its got the higher multiplier so you could theoretically get better clocks with not so good components. also the extra cache does help with encoding etc.
