The cheaper one of the two is OEM.
This means it comes without a Fan/Heatsink so is cheaper.

i know what oem is. is that the only difference? are they the same chip? just one comes without the heatsink
Well, they're both the same product geezer. Only difference is; one is Retail(with Intel Fan), the other is OEM(without Fan). Really, if you already got a socket 775 CPU fan, then go for the OEM. Otherwise you could end up with a fan you don't want.
If it's your first build then ya could plump for the Retail package, but you end up with a naffy fan...
Buy OEM and aftermarket fan ya know ya want to.

Their support is far better than eBuyers in my experience
The more expensive one (Retail, instead of OEM) comes with a heatsink and a longer warranty (3 years vs 1 year IIRC).
Edit: I'm far too slow...
OEM gets a shorter warantee (1yr) vs a retail package (3yrs). I think the length of time is correct!

Check the warranty terms - the warranty on retail packages may be invalidated if you don't use the supplied cooler. (Not sure what the position is on OEM cpus... - but as an earlier post says, the warranty is shorter anyway)

Yup -used to be 3 years on retail if used with retail cooler, 1 year OEM if used with a retail equivalent cooler.

i was too slow and scan are out of stock!!
there is nothing about the warranty on ebuyer on the OEM one, the retail one has 3 years but as im going to be using an aftermarket heatsink dosnt the OEM one make more sence as its cheaper and not using the retail heatsink with the retail one invalidates your warranty anyway, doesnt it?

I don't know about Intel chips. My retail AMD chip does specify the warranty is void if used with a 3rd party HSF, though I have heard many shops are happy to maintain warranty if an HSF of retail spec or better is used. If you asked SCAN they would provide a list of such HSF that they stock (such as their list for the old 'overclocks to 3.x ghz' Q6600).
