The top one is a AM3 capable board.

So it is, my bad (mega embarrassment)
Socket AM3 cpu's do work with AM2+ motherboards but the motherboard may require a BIOS update.

Check the website of the mobo manufacturer for compatible CPUs; don't get it if it is not listed!
They're pin compatable. AM3 has less pins than AM2+ but may be a bit glitchy. Personally I'd go for an AM3 board though I guess you were thinking of using ddr2 rather than AM3 DDR3 ?
