what heatsink fan
this is the cpu heatsink in my Dell desktop.
however its not the standard intel one.

1- what is the heatsink, is it worth upgrading?
this not my exact setup,
I have gtx295 with small gap between it and bottom of case as dell design put 16x at the one before the last!
also I upgrade the PSU to enermax liberty 620w with 120mm fan.
and there is a pull fan at the back behind cpu heatsink.
2- how can silent the computer? the motherboard does not allow me to overclock, so I am only intrested in lower the noise down.
I am thinking that the best course of action is to replace the whole case, am I correct?

I don't think you should jump to replacing the entire case.
Ascertain which fans are making the noise and try and change them - to larger fans if case/heatsink will allow it.
Do you know the size and models of existing fans?
PSU fans can also be noisy so its important to get a PSU with low noise fan

Some Dell motherboards are not ATX format so be cautious if you buy a new case. There is a remote possibility that it might not fit.

thanks for the info.
it seems that my gtx295 is the loudest thing in the case.
as for atx format, I seen the same on other dell mobos, but it seems this one can be fit normally.
the picture above is the exact dell system i have. however I have no idea what is the CPU heatsink
