Cooler + Motherboard Compatitbility

Hi, i was wondering if these 2 are compatable, as in, is there enough room for the BT to fit etc?

I'm fitting an Opteron 146 to this motherboard, would this cooler be an excellent purchase for the CPU? or is there something better? baring in mind i'm looking to build a silent system.

P.S. Does anyone have any OCing results using this equipment? or the cooler?
