Presumably by your current system spec this is going to be a gaming machine? if so then the opteron 146 would be very good as they can overclock high to give you high performance. If your more into video editing and multiple application use then a cheap dual core would be good. or you could go for the dual core opteron 165, i think they clock quite high to. up to you at the end of the day, your current cpu cooler is good enough for any cpu you choose. Primarily the cpu choice depends on what your going to be using the system for, so a little more info would help :)
how stable is it at 3ghz?
charger makes good points, I paid a little extra for a Opteron I know clocks well. I have no idea what the latest steppings are like. The nearest Athlon 64 is the 4000+ which still only runs at 2.4ghz with the same 1mb cache, costs £230-£240, also a damn sight slower than your mates Opteron at a lot slower clock speed.

he is using his 146 with a DFI expert and 2GB of PC4000 also he has a zalman Reserator.
i was wondering if i wud still get 3.0 on my PC he had the volts up to 1.5

the heatspreader has been removed, i hear that cooler is never the same onece that has been removed?

When you say stable... Theres stable and theres 'stable enough to run benchies/take screenshots' Just something else to consider. Mine is running at 2.85, 100% stable - that would post and get to windows at 2.95 easily, but would crash after playing games for a bit.
EDIT: oh, and thats not at 1.5V - mines a tad over 1.4
