A cheap 1400/1600 duron would do you fine, 256Mb RAM is enough for that!
Maybe spend some money on a remote? the Shaphire bob is a gooden!
Digital out, if its only playing MP3, DivX etc. (IE no actual work, just passing the signal thoughish), then just get onboard with optical/coax out ... get an mATX NForce2 board!

i think you're pretty right about cpu/ram, but IMO its not too much more to upgrade each to higher speeds.
the pci digital tuner comes with a universal remote (:)) so i can use it with my lcd, reciever and dvd).
oh and can you linky to a mATX MB with nforce2?

Had one for testing a while ago, was a great board (ignore that review on EBuyer), its got SoundStorm AFAIK (which is as good as Audigy2ish), onboard MX440 which is perfect for a home cinema app ... overall perfect! OK so its a little more expensive but has alot more than the other boards ;)
Fair enough about the upgrading but dont forget ... more powerful it gets, hotter it gets, louder it gets! Maybe a TBred clocked down and undervolted would be a good idea?
How about an Asus NF2 board that you get in mATX size :) You can get some decent i865PE boards as well, combine with a celeron 2.4GHz and OC to around 3GHz with ease and that should more than do you for a HTPC system :) Then you SATA as well on most boards to help with cable routing so not block airflow :)
