It comes with Vista Premier installed, Can I just not activate this and install the Ultimate edition I have got on the dell PC.
Then use the Home Premier key on another PC I have ?

Can't you buy dell pcs without an operating system these days?
In theory, probably - within the EULA though, the license (as it will be an OEM one) is tied to the PC that Vista is first installed on - not activated.
In practise, it should activate. Just a word of warning though - with XP large OEMs sometimes had the license key linked to both the CD (so it wouldn't work with a standard OEM CD) and even hooked into the BIOS, meaning even trying to transfer the license to another PC was impossible, let alone getting as far as attempting activation. Doubt Vista has those restrictions (yet) mind.
No doubt if you did have problems, as you're fully licensed anyway, MS wouldn't have any issues if you gave them a ring. They were very helpful when I asked about the possibility of acquiring VLKs for OEM licenses we have at work.
I think there was a case of someone getting a refund on the OS from Dell a little while back, as he intended to install a Linux distro on it. I don't recall seeing an option to remove the OS when using their online config tool though, so it may require a call to have any chance at all.
