what CPU are you using & how have you got your RAM configured (CPU : RAM ratio, voltage etc.)?
have you tried installing 1 DIMM, then setting up manually, save & shut down, install 2nd DIMM?

    Re: IP35-E with G.Skill DDR2-1066 1Gx2

CPU is E5200 with latest bios 1.8 .

Tested RAM is G.Skill DDR2-1066 1Gx2 .Already tried to install in DIMM 1 or 2 or 3 or 4 .All failed to bootup .

Same cpu votage/RAM ratio for DDR2-800 and bootup fine.

    clear CMOS also not helping

have you tried running with 1 DIMM?
Have you increased the RAM voltage to that recommended by G.Skill (normally 2.0-2.4V depending on which series of RAM).
    E5200 is 800fsb (4x200), DDR2-1066 is 2x 533 so you need a ~200: 533 CPU:RAM ratio & it possibly doesn't have something close.

G.Skill normally plays very well with IP35 series mobos.
