Test it at stock speeds/volts/timings, then see if you get the error. Also, try memtest86, which is run off a bootable floppy.

i had the same problem as you.
the steps i take was i reinstalled windows xp
and after that the memtest worked fine i there was no error showing
its as easy as that.
But memtest is run at bootup and has NOTHING to do with XP.
Get to stock speeds before running memtest, otherwise you may just be proving that your overclock is unstable, rather than the RAM.
