Dont see why not... Its DDR, so it should... Only one way to find out though.

It will work fine but it's not very good for overclocking if you are going for good memory bandwidth. With a S939 system though it's better to go for the high overclocks than tight timings and such, because no matter how high you overclock your system has plenty of bandwidth. That memory will work but it's not the best.
